General Terms and Conditions

1. Purpose and Scope

These General Terms and Conditions (GTC) govern the contractual relationship between FRAME & FRAME GmbH (hereinafter 'FRAME & FRAME') and its clients (hereinafter 'Client'). They apply to all photographic services in the areas of product photography and videography. By placing an order, these GTC are considered accepted. In addition, the respective service contract applies.

FRAME & FRAME reserves the right to adjust these GTC at any time without notice, unless otherwise stated, with immediate effect.

2. Acknowledgment of the GTC

By accepting the first service, the Client acknowledges the exclusive validity of our terms, even if their own terms of business differ, unless otherwise agreed in writing. For all legal transactions with FRAME & FRAME, the following provisions apply, unless explicitly defined otherwise in an order- or service-specific contract.

3. Services and Rights of FRAME & FRAME

FRAME & FRAME undertakes to execute client orders with the utmost care and within the agreed timeframe. Products, props, documents, and any other materials provided by the client will be treated confidentially and not used for other or similar projects.

The creative and technical style is at the discretion of FRAME & FRAME, unless the client provides written specifications. Complaints regarding photographic style or image selection are excluded.

FRAME & FRAME reserves the right to mention the client as a reference. Additionally, photographic and videographic works may be published in a reasonable manner for self-promotion on the company website, exhibitions, and social media, unless the client objects in writing beforehand. Commercial reuse by FRAME & FRAME only occurs with the client’s consent.

4. Responsibilities and Obligations of the Client

The client is responsible for ensuring that all items, people, and locations required for the photographic work are available at the agreed time. The client must ensure that no third-party rights are infringed. FRAME & FRAME assumes no liability for items or data provided by the client that are not within the client’s usage rights.

The client commits to actively assisting in the project so that FRAME & FRAME can perform the desired services optimally and within a reasonable timeframe.

5. Assistants and Third Parties

FRAME & FRAME is entitled to involve assistants or external service providers at its discretion or to outsource services partially to fulfill the contract.

6. Prices and Payment Terms

All prices are individually calculated. Upon order placement, a 50% deposit of the fee is due. The remaining amount must be paid within 10 business days after delivery. In case of late payment, a fee of CHF 20 per reminder is charged starting from the third reminder. Until full payment, the image material remains the property of FRAME & FRAME.

7. Cancellations & Rescheduling

In case of cancellation or rescheduling by the client, the following fees apply:

More than 10 days before the appointment: no fee

Less than 10 days before the appointment: 50% of the agreed fee

24 hours before the appointment or no-show: 100% of the fee

Exceptions apply in case of illness, accident, or force majeure, if documented.

8. Execution and Force Majeure

If the appointment is canceled due to unforeseen circumstances (e.g., illness, technical defects, force majeure), FRAME & FRAME will inform the client immediately and offer an alternative date. No claim for damages arises.

9. Delivery & Image Selection

The selection and editing of images is at the discretion of the photographer.

Delivery is digital (download link).

RAW files and unedited images are not provided.

Image editing includes color correction and light retouching.

Data backup beyond delivery is not part of the service.

10. Usage Rights and Copyright

FRAME & FRAME remains the copyright holder of the images in all cases. The client receives a simple, non-transferable right to use the images commercially within the agreed scope. Any use beyond this requires written approval.

11. Offers

Offers from FRAME & FRAME based on inaccurate or missing information are considered a general willingness to enter into a contract, but not a binding offer. Price information included is of a non-binding guideline nature.

12. Liability and Reporting Defects

The client must review the delivered images within 6 business days and report any defects in writing. If no report is made, the images are considered approved. FRAME & FRAME is only liable in cases of gross negligence or intent.

13. Data Protection

The photographer undertakes to use the client’s personal data solely for contract fulfillment and in accordance with the Swiss Data Protection Act (DSG).

14. Place of Performance, Transport & Risk

Place of performance is the office of FRAME & FRAME.

If the photographic work is shipped, the risk of transport passes to the client.

15. Final Provisions

Swiss law applies exclusively. The place of jurisdiction is the office of the photographer.

If individual provisions are invalid, the remaining provisions remain unaffected.
